1. SOPHISTICATED INVESTORS ONLY. Bitward Limited (“Bitward” or the “fund”) is an incubator fund domiciled in the British Virgin Islands (BVI). Participation in the fund is limited to “sophisticated investors” as defined under the BVI Securities and Investment Business Act, 2010 (“SIBA”) and associated regulations. A “sophisticated investor” refers to:
a. an individual whose ordinary business involves, whether for their own account or the accounts of others, the acquisition or disposal of property of the same kind as the property, or a substantial part of the property, of the fund; or
b. an individual who has a net worth (either individually or jointly with a spouse) of at least USD $1,000,000 (excluding the value of their primary residence) and has provided written confirmation that they are capable of evaluating the merits and risks of investing in the fund.
By accessing this website or considering an investment in the fund, prospective investors represent that they meet the criteria of a “sophisticated investor” under BVI laws. The fund does not accept subscriptions from retail investors or persons who do not meet these qualifications. Investors are encouraged to consult independent legal, financial, or regulatory advisors to confirm their eligibility before investing.
2. REGULATORY STATUS. Bitward Limited (“Bitward” or the “fund”) is a British Virgin Islands incubator fund and is therefore subject exclusively to the regulatory framework of the British Virgin Islands Financial Services Commission (“FSC”). The fund is not registered or regulated in any other jurisdiction, and it may not be subject to the same regulatory requirements as funds in other jurisdictions. It is the responsibility of investors to ensure that their participation in the fund complies with the laws and regulations applicable to them in their respective jurisdictions. Investors are encouraged to seek independent legal and regulatory advice to fully understand their obligations and the implications before investing.
